These Terms of Service ("Terms") govern your access to and use of https://hi.audos.com and the related platform (the "Service") provided by Audos Inc. ("Audos," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Audos provides tools that, with your authorization, connect to your accounts on Meta (Facebook and Instagram), LinkedIn, and Google Ads to manage advertising campaigns, send and receive customer messages, publish content, and report on performance. Functionality depends on the scopes you grant during the OAuth flow for each platform.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract. The Service is not intended for use by children under 13.

3. Accounts & Connected Platforms

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity under your account. When you connect a third-party platform, you authorize Audos to access and act on that platform on your behalf within the scopes you have granted. You may revoke access at any time from your account settings or directly from the third-party platform; doing so may disable parts of the Service.

4. Compliance with Third-Party Platform Policies

Your use of the Service in connection with Meta, LinkedIn, and Google Ads is also subject to those platforms' own terms and advertising policies, including (but not limited to):

• Meta Terms of Service and Advertising Policies
• LinkedIn User Agreement and API Terms of Use
• Google APIs Terms of Service, the Google API Services User Data Policy, and Google Ads policies

You are solely responsible for ensuring that your campaigns, creatives, and messages comply with the applicable platform policies and with all applicable laws.

5. Acceptable Use

You agree not to:

• use the Service to send spam, harass, deceive, or violate another person's rights;
• upload content you do not have the right to use, or that infringes intellectual property rights;
• attempt to reverse-engineer, scrape, overload, or interfere with the Service or its underlying APIs;
• resell, sublicense, or expose the Service to third parties without our prior written agreement;
• use the Service for any unlawful purpose, including violations of consumer-protection, advertising, or data-protection laws.

6. Your Content

You retain ownership of the content, creatives, and messages you submit through the Service ("Your Content"). You grant Audos a limited, worldwide, non-exclusive license to host, transmit, and process Your Content solely as needed to operate the Service and to deliver it to the third-party platforms you have connected.

7. Fees

Fees, billing terms, and ad-spend handling are set out in your order form or subscription agreement. Advertising spend incurred on connected platforms is your responsibility and is billed by those platforms directly to the payment methods you have configured with them.

8. Intellectual Property

Audos and its licensors own all rights in the Service, including its software, branding, and documentation. Nothing in these Terms transfers any of those rights to you, except for the limited right to use the Service as described.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that connected-platform APIs will remain available or behave consistently.

10. Limitation of Liability

To the maximum extent permitted by law, Audos will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the fees you paid to Audos for the Service in the twelve months preceding the claim, or (b) one hundred U.S. dollars (US$100).

11. Indemnification

You will defend, indemnify, and hold harmless Audos and its officers, directors, employees, and agents from any third-party claim arising out of (i) Your Content, (ii) your use of the Service in violation of these Terms or applicable law, or (iii) your violation of any third-party platform policy.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law or by a connected platform, or if continuing to provide the Service becomes commercially impracticable. On termination, your right to use the Service ends and we will delete your data as described in the Privacy Policy.

13. Changes

We may update these Terms from time to time. Material changes will be communicated by email or an in-app notice before they take effect. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute arising from these Terms or the Service, and you consent to that jurisdiction and venue.
